Stallholder terms & conditions.

You acknowledge that you are bound by these terms and conditions upon an Acceptance Email being sent to you by Takapoto Estate Limited ("Takapoto"). All other terms and conditions are expressly excluded unless otherwise agreed in writing by Takapoto. Takapoto's agents and representatives have no authority to make any oral representations, statements, warranties, conditions or agreements that conflict with these Terms. A binding contract will be formed between you and Takapoto for the licence to occupy a Stall Site when Takapoto sends you the Acceptance Email, or otherwise advises you that it accepts your application to occupy a Stall Site at the Event. Takapoto has no obligation or liability to you until the Acceptance Email, or other form of express acceptance, is sent to you. All references to "you" or "your" refer to the person or entity that Takapoto grants a licence to occupy the Stall Site in accordance with these Terms.

Licence to occupy

In consideration for the payment of the Stall Price, Takapoto grants to you, and you accept, a non-exclusive licence to occupy and use the area notified to you by Takapoto ("Stall Site") for the Term and for the sole purpose of running a trade site for sales and promotion, subject to these Terms.

Term

The term of the licence commences at the beginning of the Bump In time and continues until the conclusion of the Bump Out time. You agree to be present at the Stall Site at all Event hours as set out in the Trade Village dates on this page.

Payment

Full payment is required to secure a booking. You must pay the Stall Fee without set-off or deduction within 7 days of the date of receipt of a valid GST invoice from Takapoto.

Insurance

You must at all times hold public liability insurance.

Attendance and weather conditions

This is an all-weather event and Takapoto will run the Event irrespective of weather conditions, unless those conditions are deemed dangerous. You are required to be present at the Event despite inclement weather. You are solely responsible for ensuring your product is protected and that you have all necessary equipment on hand to do so. Takapoto requires that you plan against adverse conditions such as rain, wind, cold and heat, and ensure appropriate safety and wet weather procedures are in place. You agree that Takapoto is not liable for loss or damage to stock and/or equipment however caused.

Vehicle safety procedure

You are permitted to unload product from vehicles or trailers during the designated bump in time. Once unloaded, your vehicle or trailer must be moved to the designated parking area. No vehicles are to remain in the public event space.

Health and safety

You agree to comply with the Health and Safety at Work Act 2015 and all of Takapoto's current health and safety requirements relating to the Stall Site, the public event space and the Event, which are notified in writing to you from time to time. You must notify Takapoto of risks to health and safety arising from the Stall Site which are reasonably foreseeable to you and which may affect Takapoto or you arising out of or in any way connected with your activities or in connection with the Event, and you shall have due regard to such risks in performing your obligations under these Terms.

Risk and indemnity

You agree to occupy and use the Stall Site at your sole risk and you release, to the full extent permitted by law, Takapoto, its servants and agents from all claims and demands of any kind and from all liability which may arise in respect of any accident, damage or injury occurring to any person or property in or about the Stall Site, including: the neglect or careless use or misuse by you or persons under your control of the Stall Site; and any accident or damage to property or any person arising from any occurrence in or near the Stall Site wholly or in part by reason of any act or omission by you or persons under your control.

Stallholder vehicle parking

You and your staff must park vehicles where directed and must follow event staff directives related to vehicle parking and/or restrictions.

Bump in and bump out procedures

All stock, goods and/or items must be unloaded from vehicles prior to full set up. To assist with a smooth bump-in process, immediately after vehicles are unloaded they are to be moved to the designated parking area. At bump out, all stock, goods and/or items must be packed up first. You must ensure the Stall Site is cleaned and all rubbish removed. Vehicles can enter the public event space only once this has been done.

Rubbish removal

You are solely responsible for the removal of all rubbish and must leave the Stall Site clean and clear of all debris. Bins will be stationed close to the trade and food village. Licensed spaces must be left in the same condition they were initially received in.

Equipment

You must supply your own equipment in connection with the Stall Site, including tables, chairs, racks, EFTPOS machines and cash machines. Takapoto will supply stallholders with 2 × 10 amp power points per 6m × 6m stall. Please bring extension cords or a multibox if required. You are not permitted to bring your own generator(s).

Site presentation and signage

You agree to present the site in a well presented, tidy and safe way at all times. Tablecloths are to be used where appropriate, and signage promoting your stall and/or products is highly recommended. Signs erected must not impede pedestrian flows, must not display any offensive material, and must be clean and presentable. You should theme your stall creatively and professionally to attract customers.

Stall and personal security

You are solely responsible for the security of all of your stock, produce, equipment, cash and personal effects, and you agree not to make any claim against Takapoto in connection with any loss of or damage to those items.

Electrical equipment

You must ensure that all power leads and/or electrical appliances used are safe and that they comply with all requirements under the Health and Safety at Work Act 2015.

Exclusivity

You acknowledge that the rights granted to you are non-exclusive and that Takapoto may grant a similar licence to a commercial competitor of yours.

Limitation of liability

You agree that, to the extent permitted at law, Takapoto's aggregate liability to you in connection with any claim made, whether arising under contract, tort, statutory duty or otherwise, shall be limited to an amount equivalent to the Stall Price. Under no circumstances shall Takapoto be liable for any indirect or consequential loss or damage incurred by you in connection with the Event.
